FAT32 more efficient than HFS+?

I have a USB ZIP 250, and the other day I formatted a fresh disk once in FAT32 and then HFS+. I found that when formatting in FAT32, only ~350k was used and ~238.6megs were available, but when I reformatted it in HFS+, ~3.8megs were used and strangely ~237.1megs were available. Why is this?

Why would you format a volumn smaller that 1GB with a 32bit file system?

And why does 1.5 MB really matter?
