Could someone confirm this for me. Just got iPod and when I have deleted all my music it still shows 44mb as used. Is this space taken up by the software or the OS?

have you mounted it as a volume in the finder and deleted the (non-music) files that come pre-installed? i don't have my pod with me right now so i can't check, but i think they were about 40 some odd MB.
