What does the difference of $40 gives me? I was planning on getting the $440 one, but if i will run it at 1.25Ghz, i can save $40 by going with the cheaper one. or should i still get $440 one?

It just means that they guarantee it will run at the speed they say it will. Save yourself $40. If you feel comfortable mucking around with the jumpers, you can clock it up higher yourself, there's just no saying if it'll be stable or not.
