iMac wont take to RAM upgrade.

I have a 333mhz iMac with the normal 32mb ram card on the top and an Apple 128mb card on the bottom. The problem is it only reads the 128mb card as being 64mb. This is useing OS9.0.

Sounds like your RAM is bad. I don't know of any other reason all of the RAM would not be addressed.
