I'd start with running disk utility from the OS X restore disc. See if that gives you any problems you can fix. Then move to the hardware test disc that came with your Mac. Those are two good places to start to diagnose and/or repair problems.
Also, what kinds of devices do you have connected to your Mac as you try to shut it down or put it to sleep?

I ran disk utility from the osx disk and it found no problems to fix

I have the same problem and nothing I've tried has worked. However in my case if I manually kill Finder, my system will reboot. I'm guessing that will work for you.
I need to know how to fix this crap so I can reboot normally...

I have random problems with my MBP waking up (sleeping is no problem), I usually have a USB mouse and USB headset connected to my MBP.

I've seen occasional (random) issues with Macs waking up with USB devices connected -- e.g., devices that aren't mice & aren't keyboards.
Is your headset connected directly or via a hub?
