The prototype has its banner name WAY too prominent. The name has a really nice aqua-style effect, but I would only have it on a single cover page if I were to do it. As an interface, having the buttons show which page you are on it a plus. Many sites simply repeat their menus and give a viewer little context of where they are in a site.
I actually like your simple-lined Flash site. It has clear, clean and functional seperations and lines. If this was the one you said was bad, spruce it up a bit. The layout is flexible enough to handle some consistent use of color for different sections.
You definitely have an ability to create an interface. Add the polish to finish them off! They'll hold their own if the content was filled out.

The aqua green name is too prominent. If that is to be your navigation banner and it is to be static, then might I suggest placeing it in a small frameset. (yeah I know everyone's gripes about frames, but if they are well done then all the problems go away) This way if the user loads the page... all those header images need only load once. Some browsers load images over and over for every time a page is loaded. This would certainly cut down on load times.
As for the powerbookdude quote... is that really necessary? C'Mon.

Okay, so maybe tone down the name, make it more translucent, smaller? I can do that. As for frames... I don't like frames because they don't update the link that shows up in the address bar. I want people to be able to bookmark parts of the site.

So I have to ask: what was the powerbook quote?
Also, depending on you intended audience, you might want to make your background image a bit larger. The way Netscape tiles its background images, it adds a second or two to your loading time when the background pic's resolution is really small. As far as I know, this applies up to Netscape 4.78 (Mac, at least), and shouldn't be a problem for faster machines. The background takes about a second to fully load on my 233 Mhz iMac; there are a lot of slower Macs out there on the net . Internet Explorer doesn't have this problem, since it seems to load pages differently.
EDIT: It just occurred to me that your page would be targeted to OS X users, and so my last paragraph probably wouldn't apply. Whoops. Never mind.
