My boss asked me to make an HTML newsletter to send to clients. Im not sure how to do this.
There has to be a mechanism built in so that email clients which do not support html will get a text-only version.
Can anyone help me out?

There are a number of ways you can do it.
There's the free Netscape Communicator/Navigator which has a mail client within it, and you can add HTML to your emails no problems.
I also remember a tutorial a while back which showed how you could do it with Outlook Express/Entourage if you had a lot of patience. You may need to do a google search for 'outlook express html email'.
The way I do it now is with PHP, utilising a magnificent class by Richard Heyes, called 'HTML_mime_mail'. You can download it from http://www.phpclasses.org along with a send_mail class that you need as well.
In a nutshell, it uses a HTML file you've already created and creates and sends the email based on the headers you give it. If you have images within the HTML, this class can also automatically insert them as attachments. It also has provisions for adding other attachments too. It's a lovely piece of work. Got me out of a spot with a tight deadline!
Hope this helps.

You can always put the choice back in the user's hands by offering them either text or html newsletters. In some cases, it is more beneficial to show information properly formatted and 'decorative'.
Granted, there's a lot of people clinging on to text-based emails (and there's also the possibility of WAP-enabled devices wanting to read those emails like your mobile phone) so I agree there is a case to think very hard before you send out an HTML newsletter.
You can see how Apple has summed up their target audiences by getting HTML mail for the Quicktime newsletter, and plain vanilla text newsletters for the ADC issues.

There's actually an AppleScript for Entourage you can use as I personally find the netscape communicator route a little...clunky... It's on some site... Somewhere... Something like Send HTML E-mail. My computer is away so it's hard to track it down, I'll post a link when I find it though.

I would highly recommend Intellimerge from Intelli Innovations, Inc. It allows you to create both html and plaintext versions of an email and let the email client select the version it's capable of displaying. You can also import and export recipient lists and add some customize messages for individual clients.
Download a Classic or Carbon demo. If you like it, it's only $79!
