I have had it with os9 and carracho (os9 version), OS9 just gets choked for ram after 9 hrs of "up" time, then needs the system to be restarted to get the speed back..

I can't comment on whether or not OS X Server 1.2 or lower will work on your system, but I do think you must have something wrong with your OS 9 setup. Are you running any other apps on it? Have you completely stripped your extension set of third party and other unnecesary INITs and CDEVs? Which is using up the RAM, Finder? Carracho? Something else?
I'd suggest you post in non-OSX thread to solve your OS9 problems first. Maybe the problem is that Carracho is still beta software, but otherwise you should not run out of RAM without running other apps... oh, by the way, how much RAM does this Mac have?
