I don't think they offer upgrades if it is more then 2 versions old.

Adobe Photoshop CS Upgrade
To install upgrade successfully, you will need a serial number and a previous version of this product on the same platform as this purchase. Upgrade does not apply to Photoshop Elements, Photoshop Limited Editon, or PhotoDeluxe owners.
It seems pretty clear that all you need is a previous version of photoshop to upgrade photoshop CS.

In fact, here is a quote from the whole suite.
