Tried several ways to trash it - no bueno.
Any solutions?

Well, there are some utilties out there you could download, but a quick thing you could try:
Quit iPhoto, then trash the disk. It may be the case that iPhoto is keeping some file open after the import. If that doesn't work,
Open Terminal
type disktool -l -- this will list all mounted volumes .. memstick.ind should be somewhere in this list. If its not in the list, just log out and log back in and that will often do the trick.
If it is in the list, you'll see a line that looks something like this:
***Disk Appeared ('disk0s5',Mountpoint = '/Volumes/Media', fsType = 'hfs', volName = 'Media')
then type disktool -u disk0s5 or whatever it has in place of disk0s5 (might be "disk1" or something similar)
If this works, you are done. If this doesn't work, the system will tell you why ... usually that there is a file from the disk still in use. If so, you may have to start quitting apps or just log out so that whatever is keeping it open releases it so that it may be ejected.

I had a thumb drive that gave me that message once. Turns out they was an actual little physical switch on the drive that would lock or unlock the drive (much like an old floppy disk). Dunno if memsticks have such things on them though.
BTW, you'll usually have 3 blank volumes + whatever other drives you have mounted listed in disktool. That's why you had 4 lines (and only one with a name). This implies that the system doesn't consider that memstick to be mounted anymore.

I see...Trying to plug in my camera and re-create the issue...The memory stick is unlocked...the memory stick icon is also on the DT WITH the old stubborn icon - which will not dissapear.
Any other ideas?
Thanks!

it's a filesystem that needs to be unmounted, you have to tell the computer to eject it before you pull it out of the slot. Most programs do this for you. Some card readers don't tell the computer that it's been removed.
a couple ideas:
1. see what disk utility says - can you eject it?
2. log out, log back in.
3. force quit the finder.
4. unmount the drive with the command line -- carefully
type 'disktool' in the terminal for instructions
google search on 'memory stick unmount os x command line' see what you get.
