My friend has a ~2001 iBook that came with OSX 10.0.1. Can she have and use my upgrade CD to Panther? She just wants to run iTunes for here Shuffle.

I'm no expert, but I do not think there is such a thing as an "upgrade CD".
Your CD is probably the complete distribution of Jaguar, so I figure you can just use it to upgrade any OS.

Upgrade CDs come with new systems that you buy just as a new version of OS X is release. My powerbook came with the restore CD for Jaguar with an upgrade CD to Panther for example.

This is not legal. She should get her own, legal copy of Panther (or Tiger, if her iBook supports it).

Yeah I think you're right on the license. At least using the Tiger UpToDate terms and conditions as a guide you can't do it.

I'll see if one of my buddies have a full version of Panther or Jaguar they want to sell or give me. I'm a licensing boyscout too, but all my Macs have come with an update CD based on the timing of my purchases so I didn't think to look at the terms yet.

There most definitely is an "upgrade" CD. The OS X 10.1 upgrade disk that Apple gave away for the release of 10.1 would install only if 10.0 was already installed on the hard drive. The Tiger upgrade disc I received with my G5 is the same - it searches for an install of 10.3.x and continues only if one is found.
