My MacBook is still running Leopard and isn't having any real issues. I bought the Snow Leopard upgrade and would like to upgrade it, but I am debating upgrading vs. blowing it away and starting from scratch.

What are people's opinions on the matter?

Make bootable backup (Time Machine or other)

Upgrade

Any issues ?

If yes, clean install. If not, enjoy.

I compromised the last time I had such a choice. I did a clean install, then used Migration Assistant to pull in everything. Figured this approach would guarantee new copies of all system files, whereas an upgrade-in-place may skip files that Apple hadn't updated.

That's not how the SL installer works. It moves everything aside and installs a new OS. It then pulls all the non-Apple files from the old install into the new install. Then it deletes the old system. It's basically like the old Archive & Install from before except that there isn't an archive left at the end.

I'm treating them like the old Star Trek movies in a sense - even = good, so an even release just gets the upgrade treatment. Odd number release? Bad, so wipe and install fresh. No, there's no logic at all behind it but it's worked out so far.

In this case, I think turtle777 has a fine idea. And it never hurts to have a fresh, complete backup. Just ask my boss who just had to ship his drive to Drive Savers....

Well, I decided to do an upgrade. Did it 2 nights ago and haven't had an issue yet.
