Good video encoder? (MPEG2+AC3->H264 or Divx)

I've got some large MPEG2 video files that I want to archive as high-quality, highly-compressed video files; I think H.264 (preferred) or Divx 6 will do the trick. The problem is that I can't find a simple program for doing this--something like Handbrake is what I'm looking for. I'm using a Core Duo Mac.
Does anyone have recommendations? Here are the features I've been looking for:
*Set resolution
*Set ending filesize (2-pass VBR encoding)
*Crop picture
*Deinterlace video
*AC3 passthrough (preferred)
*Batch mode (preferred)

Does it do all of those things? I'm aware that Quicktime has export features, but I don't think I can get all of that done with just Quicktime (even with the Pro and MPEG upgrades).

You want ffmpeg.

One move vote for ffmpeg. Search http://macupdate.com for it. It renders h.264 content way faster then Quicktime and it also has higher profiles that Quicktime doesn't.

Thanks for the suggestions. I've checked out ffmpeg before, but found the interface confusing; any tips on how to best use ffmpeg?

There's an inherent balance between flexibility and simplicity. You've demanded a great deal of flexibility in your first post, so to fulfill that you're going to have to sacrifice simplicity in the interface, there's just no way around it.
tips? of course. If you don't know a control does, don't use it. You obviously know what many of them do, otherwise you wouldn't be asking for them. The tip is, defaults and presets are the way they are for a reason, and if you don't know how to use them you're best off ignoring them.

I think the interface could be better, and my I think my requirements are relatively simple. My point was that ffmpegx has a non-intuitive interface so I can't quite figure out how to use it; I guess I'll just spend some more time tinkering...

essentially ffmpegX will do everything you ask of it, and more, and its actually not that tricky. There are lots of how tos on the site, and you can just rack up a load of trials and let it play overnight and see what's best
